These Terms of Service explain the general terms that apply when you use the WEB MATRIX website, engage with our services, or access information about our software products.

By accessing or using our website, you agree to these Terms of Service. Paid services and software may also be subject to additional terms presented before purchase or engagement.

If you access, install, purchase, or use WEB MATRIX proprietary software, the WEB MATRIX Commercial Software Licence applies. If you purchase or access a WEB MATRIX WordPress plugin, the WEB MATRIX WordPress Plugin Licence applies. The applicable licence governs your software rights, permitted use, restrictions, updates, support, intellectual property, warranty position, liability, termination, and other software-related terms.

To the extent of any inconsistency: mandatory law and, for GPL-covered code, the GPL prevail; a signed agreement or specific order prevails for the subject matter it addresses; the applicable Merchant of Record’s terms govern payment processing, tax, subscription billing, and transaction refunds; the applicable software licence governs software rights and paid software benefits; and these Terms of Service govern general website and service use. Our Privacy Statement applies to our handling of personal information.

1. About WEB MATRIX

WEB MATRIX provides website, software, digital product, hosting, support, and related technology services.

References to “WEB MATRIX”, “we”, “us”, or “our” mean WEB MATRIX Pty Ltd. References to “you” or “your” mean the person, business, or organisation using our website, services, or software.

2. Use of our website

You may use our website for lawful business, information, and enquiry purposes.

You must not misuse our website, attempt to interfere with its operation, introduce malicious code, scrape content at unreasonable volumes, or use the website in a way that infringes the rights of WEB MATRIX or any third party.

4. Software products and licences

Some WEB MATRIX software products may be made available under separate licence terms, proposal terms, support terms, or product documentation.

Some products are licensed under proprietary terms; others – such as our WordPress plugins – are provided under an open-source licence such as the GNU General Public License (GPL). The applicable licence is identified in the product’s documentation and governs your rights to that product.

Where you purchase, install, access, or use a WEB MATRIX software product, the applicable software licence or written agreement will govern your rights to use that product.

Unless otherwise agreed in writing, WEB MATRIX retains ownership of its pre-existing intellectual property, product code, frameworks, modules, documentation, processes, templates, and reusable components.

5. Purchases, payments and resellers

Where you purchase a paid product through an authorised reseller and Merchant of Record (currently Freemius, Inc.), that provider independently handles the sale, payment processing, applicable taxes, subscription billing, and transaction refunds under the terms displayed at checkout. The provider may also issue licence keys and provide update-delivery or related licensing services. WEB MATRIX remains responsible for supplying its software and the WEB MATRIX update and support services included in the applicable plan.

Product-specific rights are governed by the applicable software licence. Refunds are handled in accordance with the refund policy shown at the time of purchase. WEB MATRIX may change its reseller, payment provider, or distribution method for future purchases or renewals. A change will not materially reduce benefits already purchased during a current paid period, except where required by law or agreed with you, and does not affect rights already granted under the GPL.

6. Responsible AI-assisted development

WEB MATRIX may use modern AI-assisted development tools to help our team work more efficiently, improve quality, and deliver useful features faster.

AI does not replace human judgement, engineering discipline, or accountability. Our approach is simple: AI may assist, but WEB MATRIX remains responsible.

Human review and approval

AI-assisted code is reviewed, tested, and approved by our team before it is released to production or distributed to customers. AI may help draft or suggest, but humans remain responsible for the engineering decisions.

Security and privacy first

We do not knowingly use AI tools in ways that expose customer confidential information, production credentials, sensitive personal information, proprietary business data, or security-critical information to publicly available AI systems. AI-assisted work remains subject to our normal security, privacy, testing, and release controls.

Controlled tooling

Where AI tools are used in our development process, we aim to use appropriate business-grade or enterprise-grade services with suitable privacy, security, and data-handling protections.

Human accountability

AI output is never treated as automatically correct. Our team remains accountable for code quality, maintainability, security, licensing, and production readiness.

Ownership and licensing

The use of AI-assisted tools or other tools does not change the ownership, licensing, or intellectual property position that otherwise applies under the relevant proposal, software licence, support arrangement, statement of work, or written agreement. AI may assist our workflow, but it does not change the agreed terms for the work.

7. Privacy and confidential information

We handle personal information in accordance with our Privacy Statement, where applicable.

You are responsible for ensuring that any content, information, files, materials, instructions, login details, or third-party materials you provide to us are accurate, lawful, and provided with all necessary rights, consents, and permissions.

You must not submit confidential, sensitive, regulated, or security-critical information through our website unless we have specifically requested it or agreed to receive it through an appropriate channel.

Where we receive confidential information as part of a client engagement, we will handle it in accordance with the applicable agreement, proposal, support arrangement, or confidentiality obligation.

8. Third-party services

Our website, services, and software may rely on third-party platforms, hosting providers, APIs, plugins, libraries, payment processors, analytics tools, AI tools, or other external services.

To the maximum extent permitted by law, WEB MATRIX is not responsible for interruptions, changes, failures, vulnerabilities, or data-handling practices of third-party services outside our reasonable control. This does not exclude responsibility arising from our own acts or omissions, our selection or configuration of a provider, applicable privacy obligations, or any right or liability that cannot lawfully be excluded.

9. Support and availability

Any support, maintenance, update, hosting, or service availability commitments will be set out in the applicable proposal, support agreement, service description, or software licence.

Unless we have expressly agreed to specific service levels in writing, we do not guarantee uninterrupted or error-free access to our website, services, or software.

10. Intellectual property

The WEB MATRIX website, brand, content, designs, software, documentation, templates, systems, processes, and related materials are owned by WEB MATRIX or licensed to WEB MATRIX.

You must not copy, reproduce, adapt, distribute, reverse engineer, or commercially exploit our materials unless permitted by law, an applicable software or open-source licence, or agreed by us in writing.

This restriction does not apply to any product or component that we license to you under an open-source licence such as the GPL. For those materials, the applicable open-source licence governs your rights to use, copy, modify, and redistribute the licensed code. Our names, logos, and other trademarks remain our property and are not licensed to you by an open-source licence.

11. Australian Consumer Law

Nothing in these Terms of Service excludes, restricts, or modifies any consumer guarantee, right, remedy, or protection that cannot be excluded, restricted, or modified under Australian Consumer Law or any other applicable law.

Where we are permitted by law to limit our liability for a failure to comply with a consumer guarantee or other non-excludable obligation, our liability is limited, at our option, to resupplying the services or paying the cost of having the services supplied again.

12. Limitation of liability

Subject to Section 11 and to the maximum extent permitted by law, WEB MATRIX is not liable for indirect, incidental, special, or consequential loss or damage, including loss of profit, revenue, data, goodwill, business opportunity, or anticipated savings.

Where liability is not governed by a signed agreement or applicable software licence, and to the maximum extent permitted by law, WEB MATRIX’s total aggregate liability arising out of or in connection with these Terms of Service is limited to the greater of AUD $100 and the amount you paid WEB MATRIX for the relevant service during the twelve months immediately preceding the event giving rise to the claim.

These exclusions and limitations do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.

13. Changes to these terms

We may update these Terms of Service from time to time. The current version will be published on our website with the applicable “Last updated” date.

If a material change affects a current paid service, software licence, or support arrangement, the applicable agreement will determine how that change applies.

14. Governing law

These Terms of Service are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.

Nothing in this section deprives you of any mandatory consumer protection or other right that applies under the laws of your location and cannot lawfully be excluded by agreement.
