The Plugin’s source code is licensed under the GNU General Public License, version 2 or later (GPL-2.0-or-later). This licence sets out the commercial benefits: official releases, updates, and support you receive with a purchase. Our proprietary products are licensed separately under the WEB MATRIX Commercial Software Licence.

This licence applies to WordPress plugins distributed by WEB MATRIX (each, the “Plugin”). It sits alongside, and does not replace, the WEB MATRIX Commercial Software Licence, which continues to govern our proprietary (non–open-source) products. The WEB MATRIX Commercial Software Licence does not apply to GPL-covered code in a Plugin.

This document contains:

  1. an open-source licensing notice governing the Plugin’s GPL-covered code; and
  2. commercial terms governing optional paid downloads, updates, technical support and related services supplied by WEB MATRIX (the “Commercial Plan”).

The GPL governs the installation, running, copying, modification and redistribution of GPL-covered code. The commercial terms in this document govern only the Commercial Plan and its associated benefits.

By purchasing a Commercial Plan after being given notice of these terms, or by accessing its commercial benefits after being given notice of them, you (the “Customer”) agree to be bound by the commercial terms. Merely receiving, installing or using GPL-covered code does not, by itself, make a person a party to the commercial terms.


1. Open-Source Licence of the Code

Except for separately licensed materials specifically identified in the Plugin or its documentation, the Plugin code owned by WEB MATRIX – including its PHP, JavaScript, CSS, templates and other source files – is licensed under the GNU General Public License, version 2 or, at your option, any later version (GPL-2.0-or-later).

Your rights to use, run, study, copy, modify and redistribute that code are granted by, and governed by, the GPL. Nothing in these commercial terms removes, restricts or overrides the rights granted under the GPL.

A copy of the GPL is included with the Plugin.

Third-party components and any standalone non-code assets distributed under a different licence remain subject to their identified licences. Applicable copyright and licence notices are included in the Plugin or its documentation.


2. What Your Purchase Provides

Your purchase is a paid, time-limited Commercial Plan that entitles you, while the Commercial Plan is active, to:

  • download official releases of the Plugin from WEB MATRIX or our authorised Merchant of Record or reseller;
  • access updates, patches and compatibility releases that WEB MATRIX makes generally available under the applicable Commercial Plan, including automatic update delivery where supported and enabled; and
  • receive technical support from WEB MATRIX within the scope described in the applicable order, product page or support policy available at the time of purchase.

These benefits apply for the number of sites (the “Site Limit”) and the period stated on your invoice, order or checkout confirmation, typically 12 months.

The Site Limit applies only to licence-key activations and access to WEB MATRIX’s or its service provider’s update, support and related service systems. It does not limit the number of sites on which GPL-covered code may be installed, run, studied, copied, modified or redistributed.


3. Relationship Between Your GPL Rights and the Commercial Plan

You may exercise your rights under the GPL in respect of the Plugin’s GPL-covered code at any time.

The commercial benefits described in Section 2—including customer-only downloads, licence-key activations, automatic update delivery and technical support—are not granted by the GPL. They are provided only to a Customer with an active Commercial Plan.

Redistributing the Plugin, or obtaining a copy from a third party, does not entitle you or any recipient to:

  • use another Customer’s licence key or customer account;
  • access WEB MATRIX’s or its service provider’s customer-only downloads or update systems;
  • receive technical support from WEB MATRIX; or
  • access any separately provided hosted or online service.

Licence keys and customer account credentials must not be published, resold, shared publicly or used to obtain commercial benefits beyond the applicable Site Limit. This restriction applies only to licence keys, accounts and commercial services. It does not restrict the exercise of rights granted under the GPL.

Subject to Section 11, WEB MATRIX may decline or suspend commercial benefits where there is no active Commercial Plan or where a licence key or customer account is being misused.


4. Updates, Support and Renewals

Updates and technical support are included for the initial period stated on your invoice, order or checkout confirmation, typically 12 months from purchase.

The Commercial Plan provides access to updates that WEB MATRIX releases during the active period. Unless expressly stated in your order, it does not guarantee that a particular feature, update or compatibility release will be produced or released by a particular date.

Where your order identifies the Commercial Plan as a recurring subscription, it will automatically renew for successive billing periods unless cancelled before the renewal date through the customer portal or another cancellation method provided at checkout.

Cancellation prevents the next renewal charge and takes effect at the end of the current paid period. You will continue to receive the applicable commercial benefits until the end of that period.

Renewals will be charged at the price disclosed at checkout or in the applicable renewal notice. If the renewal price materially changes, WEB MATRIX or the applicable Merchant of Record will provide notice before the renewal charge and an opportunity to cancel.

If you choose not to renew, you may continue to use the version of the Plugin you already hold. Your access to further customer-only downloads, licence-key activations, automatic updates and technical support will end until you renew.

Expiry or cancellation of a Commercial Plan does not affect:

  • rights already granted under the GPL; or
  • any repair, update, refund or other remedy required by applicable law.

5. Purchases, Payments and Merchants of Record

Payment processing, subscription billing, tax handling, licence-key issuance, update delivery and related transaction services may be provided by an authorised Merchant of Record or reseller.

Where Freemius, Inc. is identified at checkout as the Merchant of Record, Freemius handles the sale, payment, applicable taxes, subscription billing and refunds under the terms and policies displayed at checkout.

WEB MATRIX remains responsible for supplying the Plugin and the WEB MATRIX update and support services described in the applicable Commercial Plan.

Purchases made through a Merchant of Record or reseller are also subject to that provider’s applicable:

  • purchase and subscription terms;
  • refund policy; and
  • privacy policy.

In the event of an inconsistency:

  • the GPL governs GPL-covered code;
  • the applicable order or checkout confirmation governs the price, Site Limit and duration of the Commercial Plan;
  • the Merchant of Record’s terms govern payment processing, tax, subscription billing and transaction refunds; and
  • these terms govern the commercial benefits supplied by WEB MATRIX.

WEB MATRIX may change its Merchant of Record, reseller, payment provider or distribution method for future purchases or renewals. Any change affecting an active Commercial Plan will not materially reduce the commercial benefits already purchased during the current paid period, except where required by law or agreed with the Customer.

Any such change does not affect GPL rights already granted in respect of code you have received.


6. Refunds

Refunds are administered in accordance with the refund policy displayed at checkout.

Unless a more generous refund policy is displayed at checkout, the following change-of-mind policy applies:

  • If you have not downloaded, used or otherwise accessed the paid Plugin, you may request a full refund within 14 days of purchase.
  • Change-of-mind requests made after downloading, using or otherwise accessing the paid Plugin, but within 14 days of purchase, are considered on a case-by-case basis.
  • Change-of-mind refunds are not ordinarily available after 14 days unless the policy displayed at checkout provides otherwise.

This change-of-mind policy does not limit any refund, repair, replacement, compensation or other remedy required by the Australian Consumer Law or another applicable law. Statutory remedies may remain available after the Plugin has been downloaded, installed or used.

If a refund is issued, the associated Commercial Plan, subscription and licence key may be cancelled. Any GPL rights in code already received remain governed by the GPL.


7. Trademarks and Branding

The WEB MATRIX name and logo, and applicable Plugin product names, logos and branding, are registered or unregistered trademarks of WEB MATRIX.

Trademark and branding rights are not licensed under the GPL.

You must not use WEB MATRIX’s trademarks, product branding or logos to market, endorse or distribute a modified or derivative version of the Plugin in a way that falsely implies:

  • that the modified version is an official WEB MATRIX release;
  • that WEB MATRIX created or maintains the modified version; or
  • WEB MATRIX’s sponsorship, approval or endorsement.

This section does not prevent:

  • retaining copyright, attribution and licence notices required by the GPL;
  • truthfully identifying the origin of the original Plugin; or
  • any nominative, descriptive or other use permitted by applicable law.

Any other use of WEB MATRIX’s trademarks requires our prior written permission.


8. No Warranty

Nothing in this licence excludes, restricts or modifies any right, consumer guarantee, warranty, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law (the “Non-Excludable Rights”).

Subject to the Non-Excludable Rights and any express commitment included in the applicable Commercial Plan, the Plugin is provided “as is” and “as available”, without warranty of any kind, whether express, implied, statutory or otherwise.

Without limiting the foregoing, WEB MATRIX does not warrant that the Plugin will:

  • be error-free, uninterrupted, completely secure or free from vulnerabilities;
  • meet every specific or individual requirement;
  • be compatible with every version or configuration of WordPress, PHP, a theme, another plugin, a browser, a server or a hosting environment; or
  • continue to support third-party products or services that are changed, discontinued or made incompatible by their respective providers.

9. Limitation of Liability

Nothing in this Section limits the Non-Excludable Rights described in Section 8.

Where WEB MATRIX is permitted under section 64A of the Australian Consumer Law to limit its liability for failure to comply with a consumer guarantee, and where it is fair and reasonable to do so, that liability is limited, at our option:

  • for goods, to the replacement of the goods, the supply of equivalent goods, the repair of the goods, or payment of the reasonable cost of replacement or repair; and
  • for services, to supplying the services again or payment of the reasonable cost of having the services supplied again.

This limitation applies only where, and to the extent that, section 64A or another applicable law permits that liability to be limited.

Subject to the Non-Excludable Rights and to the maximum extent permitted by law, WEB MATRIX excludes liability for any indirect, incidental, special, exemplary, punitive or consequential loss or damage, including loss of profit, revenue, business opportunity, goodwill, data or use, website downtime or business interruption.

Subject to the Non-Excludable Rights and to the maximum extent permitted by law, WEB MATRIX’s total aggregate liability arising out of or in connection with the relevant Plugin, Commercial Plan or these terms – whether in contract, tort (including negligence), statute, equity or otherwise – is limited to:

  • the amount actually paid to WEB MATRIX or its Merchant of Record for the relevant Plugin during the current or most recently completed paid Commercial Plan period; or
  • for a non-recurring purchase, the amount paid for that purchase.

The exclusions and limitations in this Section do not apply to:

  • fraud or fraudulent misrepresentation;
  • wilful misconduct;
  • death or personal injury caused by negligence; or
  • any liability that cannot lawfully be excluded or limited.

10. Your Responsibilities and Data

You are responsible for your own website, server, hosting environment, configuration, security controls, users, content and data, and for maintaining appropriate backups before installing, updating, configuring or removing the Plugin.

Where the Plugin processes personal information on your website under your control, you are responsible for:

  • determining whether that processing is lawful;
  • providing any required privacy notices;
  • obtaining any required consents; and
  • appropriately securing, retaining and deleting that information.

WEB MATRIX and its service providers are separately responsible for personal information they collect or process for:

  • purchasing and payment administration;
  • customer account management;
  • licence activation and validation;
  • update delivery;
  • authorised telemetry and product analytics; and
  • technical support.

Where Freemius is used, activating a paid licence or opting into authorised usage tracking may transmit licence, product, website and technical-environment information to Freemius and WEB MATRIX. The information collected, its purposes and the available choices are described in our Privacy Statement, Freemius’s privacy documentation and any notice presented during activation or opt-in.

The respective roles and responsibilities of the Customer, WEB MATRIX and its service providers under applicable privacy law are determined by the personal information each party actually collects and processes. Nothing in this licence makes the Customer responsible for processing independently undertaken by WEB MATRIX or its service providers.


11. Expiry, Suspension, Termination and Product Retirement

Rights granted under the GPL are governed solely by the GPL, including its own termination and reinstatement provisions. Those rights do not expire or terminate merely because a Commercial Plan expires or these commercial terms end.

Your entitlement to the commercial benefits described in Section 2 ends if:

  • the Commercial Plan expires and is not renewed;
  • a required renewal or other payment is not successfully completed; or
  • the Commercial Plan is refunded or cancelled.

WEB MATRIX may suspend or terminate commercial benefits if you materially breach these commercial terms and do not remedy the breach within 14 days after receiving written notice describing the breach.

WEB MATRIX may suspend commercial benefits immediately where reasonably necessary to:

  • respond to fraud or suspected fraud;
  • address a security threat or material misuse of a customer account or licence key;
  • prevent unauthorised access to WEB MATRIX’s or its service provider’s systems; or
  • comply with applicable law.

Where reasonably practicable, WEB MATRIX will provide notice of an immediate suspension and an opportunity to resolve the issue.

Suspension or termination of commercial benefits applies only to customer accounts, licence keys, downloads, updates, support and related services. It does not purport to terminate or restrict rights granted under the GPL.

WEB MATRIX may retire a Plugin or discontinue its commercial update and support services by providing reasonable notice. If this occurs before the end of an active paid Commercial Plan, WEB MATRIX will either:

  • continue providing the purchased commercial benefits until the end of the current paid period;
  • provide a pro-rata refund for the unused portion of the current paid period; or
  • provide a replacement arrangement accepted by the Customer.

Nothing in this Section limits any remedy required by applicable law.


12. Governing Law and Jurisdiction

These commercial terms are governed by, and construed in accordance with, the laws of the State of Victoria, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.

Nothing in this Section deprives a Customer of any mandatory consumer protection or other right that applies under the laws of the Customer’s location and cannot lawfully be excluded by agreement.

The GPL remains governed and interpreted according to its own terms.


13. General

If there is an inconsistency between these commercial terms and the GPL, the GPL prevails in relation to GPL-covered code.

An invoice, order or checkout confirmation may specify the applicable:

  • Plugin;
  • Commercial Plan;
  • price;
  • Site Limit;
  • billing period; and
  • included commercial benefits.

Those specific order details prevail over these commercial terms to the extent of an inconsistency concerning the Commercial Plan, but they do not restrict or override the GPL.

WEB MATRIX may update these commercial terms for future purchases and renewals. A materially adverse change will not apply during a Customer’s then-current paid period unless:

  • the change is required by law;
  • the Customer agrees to the change; or
  • the change is reasonably necessary to address an urgent security or legal issue and does not materially reduce the commercial benefits already purchased.

If any provision of these commercial terms is found to be invalid or unenforceable, it will be read down to the minimum extent necessary or severed. The remaining provisions will continue to apply.

A failure or delay by WEB MATRIX in enforcing a provision does not waive its right to enforce that provision later.
